Vendor Terms of Service
Version 3.3-draft · Operated by Delon Leung trading as Cohdit (ABN 35 532 639 253)
The short version
9 sentences that say what the 14 sections below say. The full terms govern.
- These terms are between your business and Delon Leung trading as Cohdit (ABN 35 532 639 253), who runs Llord. Queensland law applies.
- Llord introduces you to Queensland landlords who manage their own rentals. The job, and the contract for it, is between you and the landlord — we are not a party to it and not your employer.
- You hear about a job only after the landlord asks for quotes. You get the full address and the tenant's details only after the landlord accepts your quote and the fee is paid.
- You pay one fee, and only when a landlord accepts your quote. 15% of the accepted job price (min $5, max $150), incl. GST.
- You hold the licences and insurance the work needs, and you do the work you quote for.
- Tenants' and landlords' details are for that job only — no marketing, no passing them on, kept secure.
- Your quoting set-up is yours. Quotes on a real job go out only when you approve them — one by one, or through a standing setting you choose and can change. A preview estimate shown to a prospective landlord, or, if you switch previews on, to a landlord with a real job, commits you to nothing (section 10).
- Either of us can end this on 30 days' notice. We remove you straight away only for serious misconduct, and otherwise we tell you what's wrong first.
- Your rights under the Australian Consumer Law stay. Beyond them, each of us answers for what we cause, within limits.
1. Platform Role
Plain English: We introduce; you and the landlord make the deal. Being approved isn't an endorsement.
Llord is a marketplace connector: it connects Queensland landlords with tradespeople. Llord is not an employer, principal, or property management service. We facilitate introductions — Llord is not a party to the service agreement, which is between you (the vendor) and the landlord.
A job reaches you only after the landlord has chosen to ask for quotes, and the landlord decides whether to accept any quote.
What “approved” means. When you register, we check that your ABN is in a valid format and a person reviews your application before you can receive jobs. If you give us a licence number or insurance details we record them, but we do not check them with the licensing authority or your insurer unless we tell you we have for a particular matter. Being approved to use Llord is not a recommendation of your work, and we tell landlords the same.
The landlord side of the arrangement is governed by the Llord Terms of Service, which says the same thing from the landlord's side: Llord is not a party to any agreement between a landlord and a tradesperson.
2. Licensing, Insurance & Your Work
Plain English: Licences, insurance, and safe, lawful work are yours.
You are responsible for holding all appropriate trade licenses and insurance required for the work you undertake. By submitting a quote through Llord, you confirm you hold these credentials.
Keep them current and tell us if one lapses. Do the work you quote for with due care and skill, and follow the laws that apply to it. Attend at a time the tenant has agreed to, or that the landlord has arranged with the notice the law requires — arranging a job through Llord does not itself satisfy the Queensland entry rules.
3. Indemnification and Limits
Plain English: Your ACL rights stay. Beyond them, each of us answers for what we cause.
- Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot be excluded. Where a guarantee under that law applies and can lawfully be limited, our liability is limited, at our option, to supplying the service again or paying the cost of having it supplied again.
- You are responsible for the work you do and how you do it. You indemnify us against claims by others, and the reasonable costs of them, to the extent they arise from your work, your breach of these terms, your negligence, your working without a required licence or insurance, or your misuse of personal information — reduced to the extent we caused or contributed to the loss.
- Otherwise, to the extent the law allows, neither of us is liable to the other for indirect or consequential loss, and our total liability to you in any 12-month period is limited to the lead fees you paid us in that period. This limit does not apply to liability that cannot lawfully be limited, or to loss caused by our fraud or wilful misconduct.
4. Lead Fees
Plain English: One fee, and only when a landlord accepts your quote.
A lead fee is charged when a landlord accepts your quote and you are granted access to the full property address and tenant contact details. In practice, once the landlord has approved your price and the job is ready to go ahead, we email you a payment link; the fee is charged to your card when you pay it, and the address and tenant details are released only after you have paid. If you do not pay, nothing is charged and nothing is released.
The fee is 15% of the accepted job price (min $5, max $150), incl. GST. There are no tiers or discounts on the lead fee itself, and it is never a subscription — you pay it only when a landlord accepts your quote. (We may in future offer a separate, optional paid product, such as market analytics; that would have its own pricing, would never change the lead fee above, and we would tell you first, consistent with section 13.)
The fee is set out in these terms, shown in your Billing tab, and shown again before payment is taken — it is not shown on the screen where you submit a quote. Once the property address has been revealed, the lead fee is non-refundable except where a successful dispute is upheld under section 5 (Lead Fee Disputes) below.
Changes to the fee. We may change the fee by giving you at least 30 days' written notice (by email). If you don't want to continue on the new fee, you can close your vendor account before it takes effect, with nothing further to pay except fees for quotes already accepted. A quote a landlord accepted before the change takes effect is charged at the fee that applied when it was accepted.
5. Lead Fee Disputes
Plain English: Tell us within the window and we'll look at it properly.
If you believe a lead fee was charged in error — for example, the property address or tenant contact details you were given were materially inaccurate — you may raise a dispute by emailing support@llord.ai within 7 days of the fee being charged, setting out the reason. We review each dispute on its merits. Where a dispute is upheld as successful, the lead fee is refunded in full. Refunds are not automatic — they apply only to disputes we uphold within this window.
An upheld refund is made to the card the fee was charged to.
6. Coverage SLA
Plain English: Jobs go to the trades and postcodes you listed — only those postcodes; miss your response window and the job moves on.
Jobs are matched to your registered trades and service area postcodes. A job is only matched to you if you have listed that property's postcode: we do not widen the search to nearby postcodes, or to the rest of the state, so a job outside the postcodes you listed will not be offered to you. Keeping that list current is how you control which jobs reach you. Where two or more approved vendors match a job equally, the job is offered first to whichever vendor was approved to join Llord earliest.
That order decides who is offered a job when a landlord asks for quotes, and who is offered it next when a job moves on. It also decides whose preview estimate a landlord sees when they open a real job before asking for quotes (section 10): the first vendor in that order who has switched previews on. If the landlord then asks for quotes, the job is offered to that vendor, unless they are no longer available to take it, in which case it is offered as described above. A different order decides the one vendor shown to a landlord alongside a maintenance assessment, whom the landlord may then contact: among the vendors who listed the property's postcode, vendors who have switched on their AI quoting assistant come first, then vendors by the average of the on-time, completion and tenant-satisfaction rates we have recorded for them (a vendor with no recorded rate comes after any vendor with one), and last by who was approved to join Llord earliest. They are partly reported by vendors themselves (for example, marking a job complete), and a job that is declined, or that a landlord moves to a different vendor, is recorded as not completed. Where no vendor registered for a job's trade is available, we may also list other vendors who cover the job's area but are registered for related or other trades, for the landlord to browse: closest trade first, then nearest coverage, and within each group in the same order. Whether to contact any of them is the landlord's choice.
You commit to responding to a job we send you — accepting, adjusting or declining the quote — within the response window shown in your Control Panel (four hours by default; you can set your own, from one hour up to a week). If that window plus 50% grace passes with no response, the request is withdrawn from you at our next daily check and offered to the next matching vendor, and we tell you it has moved on. If no other matching vendor is available, it may be offered to you again. Repeated non-response may also lead to a pause or removal under section 8.
7. Non-Exclusivity
Plain English: You're free to work anywhere else.
Your relationship with Llord is non-exclusive. You are free to accept work from any other source, platform, or client. Llord makes no commitment to provide a minimum volume of leads, and you make no commitment to accept every lead we send you. Nothing in these terms prevents you from operating your business as you see fit outside of this platform.
8. Standards, Pauses and Removal
Plain English: Except in serious cases, we tell you what's wrong and give you time to fix it.
We may pause new jobs to you, or remove you from Llord, if you repeatedly don't respond (section 6), if we uphold a complaint about your conduct, safety or workmanship, if you misuse tenant or landlord information (section 12), if you work without a required licence or insurance, or if you breach these terms.
Except for serious misconduct, we will tell you what the problem is and give you at least 14 days to respond or put it right before removing you. Serious misconduct means fraud or dishonesty, putting anyone's safety at risk, misusing personal information, or doing licensed work without the licence. Suspended vendors retain access to historical billing records for at least 12 months.
9. No Sub-contracting
Plain English: You or your own employees do the work.
You must personally perform, or have direct employees of your business perform, any job you accept through Llord. If you need to engage a sub-contractor for a specific job (for example, a specialist trade outside your primary licence), you must notify the landlord in advance and obtain their written consent; Llord is not a party to that arrangement. Any sub-contractor you engage remains your responsibility for licensing, insurance, and conduct.
10. AI Data Ownership
Plain English: Your set-up is yours; quotes go out only under your approval.
You own your quoting configuration. The pricing rules, rate cards, service patterns, and other material you upload or enter to configure your AI quoting assistant remain your intellectual property. Llord will not sell or share your individual configuration data with other vendors or third parties, other than the service providers that process it for us (see our Privacy Policy).
Llord owns aggregate outcomes. Anonymised, aggregated performance data — for example, average quote acceptance rates across trade categories, or median response times by region — may be used by Llord to improve the platform, benchmark network performance, and develop new features. This data is never attributed to your business individually.
To build your quoting configuration, uploaded material is read by an AI model running in Australia — in Amazon Web Services' Sydney and Melbourne regions (your information is stored in Sydney). See our Privacy Policy for where else your information goes. The assistant extracts only your pricing and service patterns and is instructed to discard any customer or other third-party personal information it encounters. You confirm you have the right to share any content you upload and consent to this processing at the point you upload it.
The assistant produces draft quotes. A quote is sent only after you confirm it, unless you have chosen a standing approval setting in your Control Panel that approves quotes meeting your own rules without a further click from you — in that case the quote is sent on your behalf under the setting you chose, which you can change or switch to manual approval at any time. You remain responsible for every quote sent under your approval, whether you confirmed it individually or through your standing setting.
Your configuration is also used to generate the quotes landlords see, in three situations. First, we may show a prospective landlord who has verified their email address with us, but has not yet engaged you or created a job, a preview estimate generated from your configuration and identified by your business name — no property address or tenant details are shared with you at this stage, and it does not commit you to anything. Second, only if you switch on “Show landlords preview estimates from my assistant on real jobs” in your Control Panel (it is off until you do), when a landlord who has verified their email address opens a real maintenance request that is matched to you under section 6, we may show them a preview estimate generated from your configuration, identified by your business name and marked as not yet reviewed by you, with its itemised breakdown, including the labour rate it was priced at. We do not tell you about the request, or share any of its details with you, at that stage, and the preview does not commit you to anything. If the landlord then asks for quotes, the request is sent to you with that same estimate as your draft quote, handled under your own agent review settings and section 4 (Lead Fees) above. Third, once an existing landlord approves a real, matched maintenance request, your configuration generates the quote, handled under your own agent review settings and section 4 (Lead Fees) above. All three uses run on the same AI model described above, in AWS's Sydney and Melbourne regions, and none of them changes who owns your configuration or who it can be shared with.
11. Termination
Plain English: 30 days' notice either way; straight away only for serious misconduct.
Either party may terminate this agreement on 30 days' written notice (email to the address on the account). Llord may terminate immediately for serious misconduct (section 8), or if you breach these terms and don't put it right within 14 days of our notice.
On termination: your access to the vendor Control Panel ceases and no further leads will be sent. A lead fee is charged when you pay it, after a landlord has accepted your quote — it is not billed afterward — so terminating does not undo a fee already charged for a quote accepted before termination took effect. You retain access to historical billing records for at least 12 months. Termination does not affect any rights or obligations that have already accrued.
12. Tenants’ and Landlords’ Information
Plain English: Use it for the job, keep it safe, then let it go.
Once a landlord accepts your quote and the fee is paid, you receive the property address and the tenant's name and contact details. You may use them only to arrange, carry out and follow up that job. You must not use them for marketing, pass them to anyone who is not working on the job, or keep them longer than you need for the job and your own legal record-keeping. Keep them secure, and tell us promptly at support@llord.ai if you think they have been lost or misused.
13. Changes to These Terms
Plain English: 30 days' notice, and you can leave before a change applies.
We may update these terms. We will email you at least 30 days before a material change takes effect. If you don't agree, you can close your vendor account before it takes effect, with nothing further to pay except fees for quotes already accepted. The version in force is always the one on this page — this is version 3.3-draft.
14. General
Plain English: Who you're contracting with, Queensland law, and the usual housekeeping.
- These terms are an agreement between the business registered on your Llord vendor account and Delon Leung trading as Cohdit (ABN 35 532 639 253), which runs Llord from Queensland. You accept them when you register. Our Privacy Policy explains how we handle personal information, including yours.
- These terms are governed by the laws of Queensland, and you and we submit to the non-exclusive jurisdiction of the courts and tribunals of Queensland.
- These terms and the Privacy Policy are the whole agreement between you and us about Llord. If part of them is invalid or unenforceable, it is read down or removed to the extent needed, and the rest still applies. Nothing in this clause excludes liability for misleading or deceptive conduct.
- You may not transfer your vendor account without our agreement. We may transfer these terms to a company that takes over running Llord — for example, when the business incorporates — by telling you first.
- Anyone who uses your vendor account, or an approval link we send to your registered email address, acts for your business: a quote they send or approve binds your business. Keep your account and mailbox secure, and tell us straight away if you think someone has misused them.
